Tesla Encourages Stockholders to Endorse Elon Musk's $1 Trillion Compensation Plan
Tesla has announced its 2025 Annual Shareholder Meeting, set to take place on November 6, 2025, at Gigafactory Texas in Austin, Texas. The meeting will commence at 1:00 p.m. PT/4:00 p.m. ET.
The company is at a critical inflection point, according to its statement, and believes it is on the precipice of another wave of transformational growth. Elon Musk has promised that the meeting will be a "special" event.
Two critical proposals are up for a vote at the meeting. The first is a performance-based pay plan for Elon Musk worth $1 trillion, which Tesla's board has recommended shareholders vote in favor of. The second proposal is the Amended & Restated 2019 Equity Incentive Plan, aimed at expanding and replenishing the company's equity reserves for employee awards.
Tesla shareholders can attend the meeting in person or virtually via the official online shareholder meeting platform provided by Tesla. In addition to the company-sponsored proposals, several shareholder proposals are up for a vote. Tesla's board has recommended voting against all shareholder proposals, except for the proposal to implement a proposal with 54% support in 2024.
Tesla's board is urging shareholders to follow its recommendations on all proposals. The company has six company-sponsored proposals up for a vote, including the Amended & Restated 2019 Equity Incentive Plan and the 2025 CEO Performance Award ($1 trillion plan).
